The determinants of the performance of the boards of directors of Beninese public enterprises

Abstract

The study focuses on the determinants of the performance of the Boards of Directors of Beninese public enterprises. Its objective is to analyze the driving factors on which the State must act to improve the performance of the boards of directors of public enterprises. To achieve this, we adopted a methodology that led us to collect data using a sample of 50 Beninese public enterprises. These data were statistically processed using the Statistical Package for the Social Sciences (SPSS) version 21.0 software under Windows2013 based on the use of the Principal Component Analysis method (ACP).

From the results obtained, it follows that the performance of the Board of Directors does not depend on its composition, wich is in line with the result obtained by Karoui and Khlif (2010) in the context of small and medium-sized French companies where there is no link between the composition of the board of directions and its performance. But the performance of the board of directors depends more on the skills of the directors linked to knowledge of the business sector of the company, knowledge of management science, knowledge of legal sciences; as well as the mode of operation of the body relating to formal meetings, informal meetings and the duration of meetings. This is the reason why we suggest that the State of Benin appoints directors with certain key skills and, wants the proper functioning of the body through the regular holding of meetings of Board of Directors for better corporate governance public.
